The <em><a
href="http://www.ft.com/cms/s/0/8a380a34-b9e1-11df-8804-00144feabdc0.html">FT</a></em> and the <em><a
href="http://online.wsj.com/article/SB10001424052748704095704575473630120957538.html">Wall St. Journal</a></em> both published articles yesterday about the Mikhail Khodorkovsky and Platon Lebedev trial that is close (?) to wrapping up after 18 months.  The two men are accused of embezzling mega bucks from Yukos, the Russian oil company.</p><p>Khodorkovsky and Lebedev&#8217;s lawyers are now claiming that PwC &#8220;acted improperly&#8221; by withdrawing ten years worth of audits under pressure from the Kremlin.  Pressure, the lawyers say, in the form of &#8220;a prosecutors’ raid, criminal investigations and a slew of court cases threatened to undermine its ability to operate in the fast-growing Russian market.&#8221;  Basically, they threatened to throw PwC out of Russia.  And it&#8217;s pretty difficult to grow your BRIC business without the &#8220;R&#8221; so PwC pulled the audits.</p><p>The firm claims that they up and changed their minds  after the prosecutors showed them some evidence that led them to believe that they had been lied to by Yukos management.</p><p><span
id="more-17358"></span><br
/> Douglas Miller was the lead partner on Yukos &#8211; and who is also reportedly under investigation by the <a
href="http://www.dca.ca.gov/cba/">California Board of Accountancy</a> &#8211; claims that the accusations are is more or less bullshit and that he stands by his decision to pull the audits.</p><p>However, Miller also said in his interrogation by prosecutors that &#8220;I believe these issues are being examined not so much by the<br
/> company’s Russian office managers, but by executives at PriceWaterhouseCoopers’ global, world level.&#8221;  The <em>Journal</em> reported, &#8220;a PWC official said the decision to withdraw the audit opinions was made by Mr. Miller and others in PWC&#8217;s Russia office.&#8221;  Miller is obviously speculating about what the BSDs at PwC Global were discussing over their muffins but obviously this is a problem.</p><p>As is pointed out in the FT, this doesn&#8217;t really bode well for audit firms &#8211; hell for anyone &#8211; trying to do business in Russia:</p><blockquote><p>Regardless of where the truth lies, what is emerging is a situation where global audit firms operating in Russia may all be vulnerable to the double jeopardy of auditing the books of notoriously opaque companies, while being regulated by a government able to launch arbitrary attacks. This lose-lose situation could call into question the value of audits that have been hotly sought as a western seal of approval ever since Russian companies began to access international financial markets.</p><p>[...]</p><p>[I]t underlines how all who operate in Russian finance – from global audit firms to oligarchs to pension fund investors – may still be vulnerable as the legacy of the chaotic era of Boris Yeltsin and the ensuing Putin clampdown lingers on.</p></blockquote><p>In other words, audits seem to have even less value in Russia than they do in the United States.   And here in the U.S. more or less everyone agrees that, at best, <a
href="http://goingconcern.com/2010/03/are-big-4-auditors-irrelevant/">auditors are of limited usefulness</a> and at worst, they should be stacked alongside the Charmin&trade;.</p><p>But as we said before, PwC (or any other firm that wants to take advantage of Russia&#8217;s expanding economy) has billions of reasons to buckle to any pressure put on them by the Russkis.  And <em>nobody</em> blames them &#8211; not even people close to the Khodorkovsky and Lebedev defense team quoted in the <em>FT</em> saying, &#8220;We don’t hold anything against them: they had a gun to their heads.&#8221;</p><p><a

For many of you with a pigskin-crazed significant other, this means that you won&#8217;t be seeing much of him or her on the weekends for the rest of the year.</p><p>This also means that thousands of hours will be wasted by (primarily) men at work and in their free time, antagonizing over the players on their rosters* and coming up with lame trash talk for their upcoming opponents.  For the most part, the gajillion of dollars lost in productivity and the strain put on relationships is accepted by society (there are <a
href="http://moneywatch.bnet.com/saving-money/blog/devil-details/can-you-be-fired-for-fantasy-football/1230/">exceptions</a>).</p><p>Football is more of a religion than any of the faiths these days anyway. Plus, we&#8217;re fairly certain that men sitting on their asses while ingesting meat and watching freakishly obsese men (and a few athletes) sacrifice life and limb is all but guaranteed by The Constitution.  Fantasy football is a mere extension of this phenomenon.</p><p>Anyway, there has to be a king of this geekfest of stats, laptops and greasy food and his name is John Rozek.  And he is an accountant.</p><p><span

/> More technically, Rozek is &#8220;king of fantasy football by the World Championship of Fantasy Sports, the big dog in big-money, faux-football leagues.&#8221;  The World Championship of Fantasy Sports (&#8220;WCOFS&#8221;) will be awarding $2 million in prize money this year which should allow some of the big winners to actually get laid.</p><p>Rozek (who won $25k last year in various leagues) doesn&#8217;t claim to be a guru, just smarter than the born losers he plays against, &#8220;You have to take advantage of people not making the best picks,&#8221; <a

Looking over a mess of seemingly meaningless numbers, maintaining objectivity, impervious to distractions like spouse, kids, etc. when its <a
href="http://goingconcern.com/tag/busy-season/">busy and/or football season</a>.  It&#8217;s like revealing that an accountant is the best at stamp collecting (we&#8217;re sure it&#8217;s a fine hobby) or a World of Warcraft champion.  Most people&#8217;s reaction would be, &#8220;Meh.  I could&#8217;ve guessed that.&#8221;</p><p><a

PwC had the large pair to follow me once, very early on, and probably unfollowed when I started ripping on them for bumbling <a
href="http://goingconcern.com/tag/satyam/">Satyam</a>. Anyway, someone has to watch what&#8217;s being said and a company (or organization) can only choose to engage or not engage.</p><p>Engaging, of course, comes in several forms but to vaguely pin down what &#8220;engage&#8221; means, I&#8217;d define it as any activity that alerts others they are listening and/or give a shit.</p><p><span

Not all companies choose to take that route, nor should they be expected to. Protecting or guarding your brand means figuring out how much &#8220;engaging&#8221; is appropriate as any more or less than is appropriate for your particular organization&#8217;s needs will come off as fake, lame or just forced. And no one wants to interact with <em><strong>that</strong></em>.</p><p>For Dave and Buster&#8217;s, I give them credit for totally engaging me by following me. <a
href="http://twitter.com/adrigonzo/status/22915029188">I&#8217;ve been publicly ripping on them for at least a week</a> but I&#8217;m not doing it just to be mean, I&#8217;d really <strong><em>really</em></strong> like to know what went down with E&#038;Y (welcome to your new gig, <a

I&#8217;ve never actually been in a D&#038;B and any inquisitive tweets on my part were not returned but so far they haven&#8217;t sued me so I guess I&#8217;m doing well on that front.</p><p>Some agencies choose to completely ignore some of the more &#8220;questionable&#8221; interaction that isn&#8217;t exactly a pissed off customer. They&#8217;re already trained to handle that (any social media idiot can teach you how to talk to customers who talk about you in a list of 3 items or more) but they aren&#8217;t likely prepared for a fake accounting firm to ask them <a
href="http://twitter.com/WTF_LLP/status/22863909704">if newly-single D&#038;B would want to try them out as auditors</a>.</p><p>I don&#8217;t expect Dave &#038; Buster&#8217;s to answer or acknowledge that but following me shows that they are at least aware <em>I&#8217;m</em> trying to egg them on and aren&#8217;t afraid of my bitch ass. Unlike the fake accounting firm, I&#8217;m a voice out there spreading whatever I know about [insert company] to a huge audience. They can&#8217;t send me 10,000 free tickets to shut my trap and I&#8217;m not exactly making a complaint they can resolve so what can they do? Keep an eye on me?</p><p>I admire that tactic. And may leave them alone&#8230; I&#8217;m more likely to do so if I get a tweet about what happened with E&#038;Y but won&#8217;t be holding my breath for that particular @.</p>

href="http://papers.ssrn.com/sol3/papers.cfm?abstract_id=1260368">Pittsburgh and the University of Washington attempts</a> to answer just this question. Their finding? Pressure from the companies&#8217; CEOs, more than the possibility of financial gain, tends to drive the actions of crooked CFOs.</p><p>Of course, the researchers couldn&#8217;t actually divine the motivations that drove the CFOs who manipulated numbers. Instead, they reviewed a group of firms subject to SEC enforcement, analyzing the role of the CFOs, as well as the costs they incurred and any benefits they gained from their actions.</p><p>They found &#8211; not surprisingly &#8211; that the CFOs involved faced stiff penalties for their actions. More than half of the CFOs (54 percent) employed by the nearly 300 firms in the sample that were charged by the SEC for accounting manipulation were prohibited from serving as an officer, director or accountant with a public company in the future. About 48 percent of CFOs were fined as a result of their wrongdoing, with a median fine of $50,000. A small number &#8211; about 4 percent &#8211; also faced criminal charges. Clearly, monkeying with the numbers can be quite costly for CFOs.</p><p><span
id="more-17265"></span><br
/> On the other hand, the CFOs that engaged shady number crunching didn&#8217;t have significantly higher equity incentives than CFOs in the control sample. That means the CFOs involved in misstatements took on a lot of risk, yet couldn&#8217;t expect to come out much further ahead financially than their counterparts at law-abiding firms.</p><p>Conversely, the CEOs of firms in trouble exhibited both greater power and equity incentive than CEOs of control firms. For instance, these CEOs were more likely to be company founders and to serve as chair of their boards than the heads of the other firms. &#8220;This evidence is also consistent with the pressured CFO explanation; that material accounting manipulations are more likely in the presence of powerful CEOs,&#8221; the researchers write.</p><p>What&#8217;s more, CFO turnover jumped during the three years before the misstatements occurred. That suggests that at least some CFOs either left or lost their jobs because they refused to participate in the manipulation.</p><p>The SEC also seems to have taken note of the larger role that CEOs, rather than CFOs, typically played in the schemes. When the researchers examined 188 companies in which both the CFO and CEO were charged with manipulating numbers, they found that the SEC had charged 18 percent of CFOs with orchestrating the schemes. When it came to CEOs, however, 32 percent were charged &#8211; almost double the CFO number.</p><p>Moreover, when the SEC charged just the CFO with wrongdoing, 30 percent of them benefited financially. That&#8217;s a lot, but it&#8217;s significantly less than the 46 percent of CEOs who were charged and also gained financially.</p><p>Given these findings, are there changes that could reduce accounting shenanigans? To be sure, the research doesn&#8217;t mean that CFOs who cook the books can simply blame their actions on their bosses; clearly they could have acted differently, as difficult as doing so might have been. The findings do suggest, however, that one step to reducing the opportunity for wrongdoing would be to provide CFOs with greater independence from their CEOs. One way to accomplish this would be to expect greater participation from corporate boards or audit committees when it comes to hiring and evaluating their firms&#8217; chief financial officers.</p>
